FREELANCE SERVICE AGREEMENT

This Freelance Service Agreement ("Agreement") is entered into as of [●] between:

2. [FREELANCER FULL NAME], residing at [ADDRESS], PAN: [PAN NUMBER] ("Service Provider").

1. SERVICES
The Service Provider agrees to provide the following services to the Client ("Services"):

2. FEES AND PAYMENT

3. REVISIONS
The Fees include up to [●] rounds of revisions. Additional revisions shall be charged at INR [●] per hour.

4. INTELLECTUAL PROPERTY
4.1 Upon receipt of full payment, all intellectual property rights in the deliverables, including copyright, shall vest in the Client.

4.2 Until full payment is received, all intellectual property rights remain with the Service Provider.

4.3 The Service Provider retains the right to display the work in their portfolio unless otherwise agreed in writing.

5. CONFIDENTIALITY
The Service Provider shall not disclose any Confidential Information of the Client to any third party during the term of this Agreement and for [2] years thereafter. "Confidential Information" means any non-public business, technical, or commercial information disclosed by the Client.

6. INDEPENDENT CONTRACTOR
6.1 The Service Provider is an independent contractor and not an employee of the Client.
6.2 The Service Provider is solely responsible for payment of income tax, GST (if applicable), and other statutory obligations on the Fees received.
6.3 The Client shall deduct TDS under Section 194J of the Income Tax Act, 1961, at the applicable rate, and provide Form 16A to the Service Provider.

7. NON-SOLICITATION
During the term and for [●] months after termination of this Agreement, the Service Provider shall not solicit or engage any employee or client of the Client introduced through this engagement.

8. TERMINATION
8.1 Either Party may terminate this Agreement by giving [●] days' written notice.
8.2 Upon termination, the Client shall pay for all Services rendered up to the date of termination on a pro-rata basis.
8.3 The Client may terminate immediately (without notice or payment for unrendered Services) if the Service Provider is in material breach of this Agreement.

9. LIMITATION OF LIABILITY
The Service Provider's total liability under this Agreement shall not exceed the Fees paid in the [3] months preceding the event giving rise to the claim. Neither Party shall be liable for indirect, consequential, or special damages.

10. GOVERNING LAW
This Agreement shall be governed by the laws of India. Disputes shall be resolved by arbitration in [CITY] under the Arbitration and Conciliation Act, 1996.
